Welcome to COCREATE, a product of Colate Ltd ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website located at https://cocreate.colate.io (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Service.

1. Use of the Service

You must comply with all applicable laws and regulations when accessing or using the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age or have obtained parental or guardian consent to use the Service.
• You will not use the Service for any unlawful or prohibited purpose.
• All information you provide to the Service is accurate, complete, and up-to-date.

2. Plans, Payment, and Billing

We offer four plan types: FREE, PRO and ENTERPRISE. Usage limits, features, and pricing vary by plan, as detailed on our Pricing page. By subscribing to a paid plan (PRO or ENTERPRISE), you agree to the following:

• Billing Cycle: You may choose to be billed monthly or yearly for each tenant and application fee. Discounts may apply for yearly billing, as listed on the Pricing page.
• Payment Methods: You must provide a valid payment method (e.g., credit card or other accepted forms) for any recurring fees.
• Fee Changes: We may change fees for any plan at our sole discretion. We will provide reasonable notice before applying new fees or fee structures to your existing subscription.
• Refunds: Unless otherwise required by law or explicitly stated by us, all payments are non-refundable.

3. Accounts

To use certain features of the Service, you may need to create an account. When creating an account, you must provide accurate and complete information and keep it updated. You are responsible for safeguarding your account credentials and for any activity conducted under your account.

If you suspect unauthorized access to your account, you must notify us immediately at admin@colate.io.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Colate Ltd and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for its intended purposes.

You may not copy, modify, distribute, sell, or lease any part of the Service without prior written permission from Colate Ltd.

5. User-Generated Content

COCREATE allows users to create, upload, and share content ("User Content"). By submitting User Content to the Service, you grant Colate Ltd a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and distribute your User Content in connection with providing the Service.

You retain ownership of any intellectual property rights in your User Content. You are solely responsible for your User Content and agree not to upload any content that:

• Violates any laws or regulations.
• Infringes the intellectual property or privacy rights of any third party.
• Is defamatory, obscene, offensive, or harmful.

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

6. Prohibited Activities

When using the Service, you agree not to:

• Interfere with or disrupt the integrity or performance of the Service.
• Engage in any activity that could harm or negatively impact other users or the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Colate Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claims arising from your use of the Service will not exceed the amount you paid, if any, to use the Service.

You agree to indemnify, defend, and hold harmless Colate Ltd, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including legal fees, arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
